By accessing or using the Site or any of the Services, you agree to be bound by this Agreement. If you do not agree, please do not access or use the Site, the Services, or any information contained herein. Your acceptance of this Agreement also means you accept our Privacy Policy, Risk Disclosure, and Disclaimer, which are incorporated by reference. The date on which you first accept this Agreement is the “Effective Date.”

We may change this Agreement from time to time. If you hold an account with us, we will notify you of material changes by email to the address on your account, by a notice on the Site, or by updating the version posted here. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the modified Agreement.

You must be at least 18 years of age to use the Site and the Services. The Site and the Services are not intended for, and may not be used by, anyone under 18. If you accept this Agreement on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and “you” refers to both you and that entity.

In this Agreement:

• “PriceIsAll,” “we,” “us,” or “our” means PriceIsAll FZ-LLC, DIFC Innovation Hub, Dubai, United Arab Emirates.
• “Site” means priceisall.com and any related pages, subdomains, and applications we operate.
• “Services” means, collectively, the Site, the PriceIsAll Academy and educational content, market commentary, trading tools and indicators, community areas, and any Subscriptions we make available.
• “Content” means all text, data, charts, analyses, courses, videos, indicators, and other materials made available through the Services.
• “Subscription” means a paid license granting access to the Services for a Subscription Term.
• “Free Trial” means a period during which you may access certain Services without charge.

PriceIsAll IS AN EDUCATION AND SOFTWARE PUBLISHER. WE ARE NOT A BROKER-DEALER, INVESTMENT ADVISER, OR FINANCIAL ADVISER, WE DO NOT OWE YOU A FIDUCIARY DUTY, AND NOTHING WE PROVIDE IS PERSONALIZED INVESTMENT ADVICE. TRADING INVOLVES A SUBSTANTIAL RISK OF LOSS.

PriceIsAll is not registered as a broker-dealer, investment company, or investment adviser with the U.S. Securities and Exchange Commission, any U.S. state securities authority, or any regulator in any other jurisdiction. We publish educational material and provide tools on a subscription basis only. No Content constitutes a recommendation that any particular investment, security, strategy, or transaction is suitable for any specific person. No one in our employ is advising you personally about the suitability of any investment or strategy.

Any views expressed through the Services are the opinions of our contributors and users and may differ from time to time. Our contributors and staff may hold positions in the instruments discussed. Any trade set-ups, alerts, or performance figures are provided for educational and illustrative purposes only, are not trade recommendations, and are not actual fills; past performance is no guarantee of future results. You bear sole responsibility for your own research and decisions and should consult a qualified, licensed professional before making any investment. See our full Risk Disclosure.

No guarantee

While we work hard to provide a high-quality Site and Services, we do not promise or guarantee any specific result, outcome, or profit from using the Services.

Temporary interruptions

You understand that temporary interruptions of the Site may occur as normal events, and that we have no control over third-party networks or services we rely on. The Site is provided “AS IS,” and we assume no responsibility for the timeliness, deletion, or failure to store any communication or setting.

Subject to this Agreement and your payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial use during your Free Trial or Subscription Term.

Accounts, credentials, and access

Your credentials grant access to the Services for a single user. You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use or suspected breach. Sharing, reselling, or providing access to your account to any other person is prohibited; if you do so, you are jointly responsible for their conduct and for any resulting damages.

Indicators and third-party platforms

Certain tools and indicators are provisioned to you on third-party platforms (for example, TradingView) under your platform username. Access to those tools requires an active Subscription and continued compliance with this Agreement and the third party’s own terms. We may add, change, or remove tools, and may revoke access when a Subscription ends or this Agreement is breached.

Fees

If you purchase a Subscription, you agree to pay all fees for the plan you select. You are responsible, at your own expense, for the equipment, software, and internet access needed to use the Services. All fees are stated and charged in the currency shown at checkout and are exclusive of any taxes, which are your responsibility where applicable.

Free trials

A Free Trial, where offered, is available only once per person. Attempting to obtain multiple trials (for example, through additional email addresses) is a violation of this Agreement.

Automatic renewal

UNLESS YOU CANCEL BEFORE THE END OF THE THEN-CURRENT SUBSCRIPTION TERM, YOUR SUBSCRIPTION AUTOMATICALLY RENEWS FOR A PERIOD OF THE SAME LENGTH, AND WE WILL CHARGE YOUR PAYMENT METHOD ON FILE AT THE THEN-CURRENT RATE FOR THAT PLAN. YOU CAN CANCEL AT ANY TIME FROM YOUR ACCOUNT TO STOP FUTURE RENEWALS.

No refunds

Except where a non-waivable law in your country of residence requires otherwise, all fees are billed in advance and are non-refundable, in whole or in part, regardless of whether you use the Services and regardless of when you cancel during a Subscription Term. When you cancel, your access continues until the end of the current paid period and does not renew.

Overdue amounts and chargebacks

If your payment method is declined or a charge is reversed, we may suspend or terminate your access and require payment by other means. You agree to reimburse us for reasonable costs of collection, including any third-party chargeback fees.

This Agreement begins on the Effective Date and continues until your Free Trial ends without a purchase, a Subscription is not renewed, or it is terminated as described here.

Either party may terminate immediately on written notice if the other materially breaches this Agreement. We may also suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated this Agreement or used the Services in a way that harms us, other users, or any third party. You may cancel at any time from your account.

On termination, all rights and licenses granted to you end immediately, and you must stop using the Services and any Content. Any provision that by its nature should survive termination (including fees owed, disclaimers, limitations of liability, and the governing-law and dispute terms) survives.

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to that processing. You are responsible for maintaining the security of your own devices and credentials; while we take reasonable measures to protect the Services, no method of transmission or storage is completely secure.

You agree that you will not:

• use the Services for any unlawful purpose or in violation of any applicable law or regulation, including securities laws in your jurisdiction;
• copy, scrape, redistribute, resell, sublicense, or publicly display any Content except as expressly permitted;
• reverse engineer, decompile, or attempt to extract the source or logic of any tool or indicator;
• share account access, circumvent access controls, or interfere with the security or operation of the Services;
• post or transmit anything unlawful, defamatory, abusive, misleading, or that infringes another person’s rights, or use community areas to solicit, spam, or give personalized financial advice.

We may remove content, and suspend or terminate accounts, that violate these rules, at our discretion.

You retain ownership of content you post to community areas (“User Content”). By posting it, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and use that User Content in connection with operating and promoting the Services. You represent that you have the rights necessary to grant this license and that your User Content does not violate any law or third-party right.

The Services and all Content (including the PriceIsAll name, logos, courses, written analysis, indicators, software, and their selection and arrangement) are owned by PriceIsAll FZ-LLC or its licensors and are protected by intellectual-property laws. Except for the limited license granted to you, no rights are transferred. You may not use our trademarks without our prior written consent, and any use of Content beyond your permitted personal use requires our written permission.

The Services may link to or integrate with third-party websites, platforms, and payment processors that we do not control. We are not responsible for their content, policies, or practices, and your use of them is governed by their own terms. Links do not imply our endorsement.

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT, DATA, OR ANALYSIS IS ACCURATE, COMPLETE, OR RELIABLE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, PriceIsAll AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless PriceIsAll FZ-LLC and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, or your breach of this Agreement.

Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under the mandatory law that applies to you.

PriceIsAll operates from DIFC Innovation Hub, Dubai, United Arab Emirates, and this Agreement is governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC) for any dispute arising out of or relating to this Agreement or the Services.

Our Services are offered to a global audience, including users in the United States. You are responsible for complying with the laws of the country and state from which you access the Services. Nothing in this section deprives you of the protection of any mandatory consumer-protection law of your country of residence that cannot be derogated from by agreement; where such law applies, it prevails over this section to the extent of any conflict.

This Agreement, together with the policies referenced in it, is the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver of it. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. Notices to you may be given by email or by posting on the Site.
